Welcome to naritholven. By accessing or using our services at naritholven.com, you're agreeing to these terms. We've worked to make this document straightforward, but if something isn't clear, reach out. These terms govern your relationship with us and outline what we can reasonably expect from each other as we work together on business activity analysis.

1. Acceptance of Terms

When you use our platform, you accept these terms in full. That includes any updates we make from time to time. We'll notify you of significant changes, but it's worth checking back occasionally. If you don't agree with any part of these terms, you shouldn't use our services.

These terms apply to all visitors, users, and anyone else who accesses our service. Whether you're browsing casually or you're a registered user with full access, these rules apply equally.

2. Description of Services

naritholven provides business activity analysis services specifically designed for Australian businesses. Our tools help you understand patterns in your operations, identify areas where efficiency might improve, and make more informed decisions about resource allocation.

We don't promise specific outcomes. Results vary based on how you use our tools, the quality of data you provide, and factors outside our control. What we do promise is accurate analysis based on the information you give us and ongoing improvements to our service based on what actually helps businesses.

3. User Accounts and Responsibilities

To access most features, you'll need to create an account. You're responsible for maintaining the confidentiality of your account credentials. Don't share your password, and let us know immediately if you suspect unauthorized access.

  • You must be at least 18 years old to create an account
  • The information you provide during registration must be accurate and current
  • You're responsible for all activity that occurs under your account
  • You must notify us within 24 hours of any unauthorized use
  • One person per account – no sharing login credentials across teams without proper licensing

We reserve the right to suspend or terminate accounts that violate these terms or engage in activity that might harm other users or our service.

4. Acceptable Use Policy

You agree to use our services only for lawful purposes and in ways that don't infringe on the rights of others or restrict their use of our services. This isn't an exhaustive list, but here's what's not acceptable:

  • Attempting to gain unauthorized access to our systems or other user accounts
  • Introducing malware, viruses, or any harmful code
  • Using automated systems to access the service in ways that send more requests than a human could reasonably produce
  • Attempting to reverse engineer or copy any part of our software
  • Using the service to store or transmit illegal content
  • Harassing other users or our staff

If we notice misuse, we'll typically reach out first to understand what's happening. But we reserve the right to suspend access immediately if we believe there's a security risk or legal issue.

5. Intellectual Property Rights

The naritholven platform, including all software, text, displays, images, and the design of our service, is owned by us or our licensors. You get a limited, non-exclusive license to use our service as intended, but that doesn't transfer any ownership rights to you.

Your data belongs to you. We don't claim ownership of any content you upload or create using our service. However, you grant us a limited license to use that data to provide our services to you and to improve our platform generally. We won't share your specific business data with others without your permission.

6. Data Privacy and Security

We take data protection seriously. Our systems use industry-standard encryption, and we regularly review our security practices. That said, no online service is 100% secure, and you should take reasonable precautions with sensitive information.

We collect and use data as described in our Privacy Policy, which you should read alongside these terms. In brief: we collect what we need to provide and improve our service, we don't sell your data to third parties, and we comply with Australian privacy laws including the Privacy Act 1988.

  • We encrypt data in transit and at rest
  • Our staff access your data only when necessary to provide support or maintain the service
  • We maintain regular backups, but you should keep your own copies of critical data
  • We'll notify you promptly if we become aware of any unauthorized access to your data

7. Payment Terms and Refunds

If you purchase any paid services, you agree to pay all fees as described at the time of purchase. Prices are in Australian dollars and include GST where applicable.

Payments are processed through secure third-party payment processors. We don't store your complete credit card information on our servers. Subscriptions renew automatically unless you cancel before the renewal date.

Our refund policy is straightforward: if you're not satisfied within the first 14 days of a new subscription, contact us for a full refund. After that, we generally don't provide refunds for unused time, but we'll work with you if there's a service issue on our end.

8. Service Modifications and Availability

We're constantly improving naritholven, which means features may change. We'll do our best to notify you of significant changes in advance, but we reserve the right to modify or discontinue features at any time.

We aim for high availability, but we can't guarantee the service will be available 100% of the time. Maintenance, updates, and unforeseen issues can cause temporary interruptions. We'll communicate about planned maintenance when possible.

9. Limitation of Liability

This is the legal bit that's important to read. naritholven provides business analysis tools, but we're not making business decisions for you. You're responsible for how you interpret and act on the information our service provides.

To the maximum extent permitted by Australian law, we're not liable for indirect, incidental, or consequential damages arising from your use of our service. This includes lost profits, lost data, or business interruption. Our total liability for any claim related to our service is limited to the amount you paid us in the 12 months before the claim arose.

Some jurisdictions don't allow certain liability exclusions, so some of these limitations might not apply to you. Where Australian Consumer Law applies and can't be excluded, our liability is limited to resupplying the service or paying the cost of resupply.

10. Indemnification

You agree to defend and hold harmless naritholven, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of our service, your violation of these terms, or your violation of any rights of another party.

This doesn't apply if the claim arises from our negligence or breach of these terms. We're just asking that you take responsibility for how you use our service.

11. Third-Party Services and Links

Our service might integrate with or link to third-party services. We don't control these external services and aren't responsible for their content, policies, or practices. When you use third-party integrations, you're subject to their terms as well.

We choose integration partners carefully, but you should review their terms and privacy policies independently. If you have concerns about a third-party integration, let us know.

12. Termination

You can stop using our service at any time by closing your account through your account settings. If you have an active subscription, follow the cancellation process to avoid being charged for the next period.

We can suspend or terminate your access if you breach these terms, if your account remains inactive for an extended period, or if required by law. We'll usually provide notice before termination unless there's a security concern or legal requirement not to.

Upon termination, your right to use the service stops immediately. We'll retain your data for a reasonable period to allow you to retrieve it, but we're not obligated to maintain it indefinitely after termination.

13. Dispute Resolution

If you have a concern about our service, please contact us first. Most issues can be resolved through direct communication. If we can't resolve a dispute informally, both parties agree to make a good faith effort to resolve it through mediation before pursuing litigation.

These terms are governed by the laws of New South Wales, Australia. Any disputes that can't be resolved through mediation will be subject to the exclusive jurisdiction of the courts of New South Wales.

14. Changes to Terms

We review and update these terms periodically to reflect changes in our service, legal requirements, or business practices. When we make significant changes, we'll notify you by email or through a notice on our platform at least 30 days before the changes take effect.

Your continued use of our service after changes take effect constitutes acceptance of the updated terms. If you don't agree with the changes, you should stop using our service and close your account.

Australian Consumer Law: Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

15. General Provisions

If any part of these terms is found to be unenforceable, the rest remains in effect. Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.

These terms constitute the entire agreement between you and naritholven regarding use of our service. They replace any prior agreements or understandings. You can't assign your rights under these terms without our written consent, but we can assign our rights to any affiliate or successor.
